Macquarie Infrastructure Co agreed to acquire Mercury Air Centers Inc

Cleveland, OH, United States — Macquarie Infrastructure Co agreed to acquire Mercury Air Centers Inc from its majority owner Allied Capital Corp for US$456.2 million. Mercury Air Centers Inc is a provider of aviation support services. It operates a network of 24 fixed base operations at 22 airports across the US. Once acquired, Mercury Air Centers Inc will operate as part of Macquarie Infrastructure Co's airport service business, Atlantic Aviation. This will make Atlantic the largest network of fixed base operations in the country, with a total of 68. Macquarie Infrastructure Co will fund a portion of the acquisition with a US$192.0 million, two-year term loan secured by Mercury Air Centers Inc. The balance will be funded with proceeds from Macquarie Infrastructure Co's existing acquisition-related revolving credit facility and US$20.0 million of available cash. The deal is expected to close in the third quarter of 2007. Allied Capital Corp first acquired a stake in Mercury Air Centers Inc in 2004.
